Rubrik Corporate Counsel in Palo Alto, California
ABOUT THE TEAM
The Rubrik corporate legal team is looking for an energetic and talented corporate attorney with a passion for working on corporate securities, transactions and compliance matters and driving business in a fast-paced in-house environment. This position reports to Rubrik’s Director, Corporate Legal and is located in Rubrik’s HQ (Palo Alto). Rubrik has a hybrid remote work policy and requires 3 days in the office for non-remote employees.
What you’ll do:
Prepare and review SEC filings, such as Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and Section 16 reporting, including Forms 3, 4, and 5.
Advise on compliance with public company rules and regulations, including the Securities Act of 1933, the Securities Exchange Act of 1934, stock exchange listing standards, and Delaware law.
Assist with corporate governance matters, including board and committee materials and meetings and governance for Rubrik’s international subsidiaries.
Review earnings-related materials, such as shareholder letters, scripts, presentations, and other corporate communications.
Provide legal support for executive compensation matters, equity plans, and equity administration.
Offer legal support for corporate transactions such as M&A and capital markets transactions, including financings, restructurings, credit facilities, stock repurchases, and debt offerings.
Support the enhancement and maintenance of corporate and compliance policies, processes, and training programs with scalable frameworks and legal technology.
Develop strong relationships with cross-functional teams, including finance, accounting, investor relations, communications, and human resources.
Work efficiently with outside counsel as required.
Support special corporate and compliance projects as needed.
Experience you’ll need:
Post-graduate legal degree
3+ years of corporate legal experience at a top law firm or in-house, with in-house experience or supporting in-house clients strongly preferred
Comfort and familiarity working with business and other non-legal stakeholders, including finance, accounting, HR and equity teams
Unquestioned legal professionalism and integrity
Demonstrated experience as a self-driven attorney who can work independently with excellent business judgment and strategic thinking
Receptive to coaching and feedback
Ability to prioritize and manage business expectations in a fast-paced environment

The minimum and maximum base salaries for this role are posted below; additionally, the role is eligible for bonus potential, equity and benefits. The range displayed reflects the minimum and maximum target for new hire salaries for the role based on U.S. location. Within the range, the salary offered will be determined by work location and additional factors, including job-related skills, experience, and relevant education or training.

$133,200—$199,800 USD
